Terms of Service

These terms are a contract between you and Goleady Ltd(“YouClip”, “we”, “us”), a company registered in the United Kingdom. They govern your use of the YouClip desktop application and the website and services at youclip.ai (together, the “Service”). By creating an account or using the Service, you agree to these terms. If you do not agree, do not use the Service.
1. Who we are
YouClip is a desktop application for macOS and Windows, with a supporting web service, that turns raw footage into short-form vertical video with word-by-word captions. It transcribes your video, can trim it, and burns in captions ready for platforms like TikTok, Reels and Shorts.
2. Eligibility
You must be at least 18 years old, or old enough to enter a binding contract in your country with the consent of a parent or guardian, to use the Service. By using it you confirm you meet this requirement and that the information you give us is accurate.
3. Your account
You need an account to buy tokens and render clips. You are responsible for keeping your login details secure and for all activity under your account. Tell us promptly at [email protected] if you suspect unauthorised use. You can change your email and password, or delete your account, from your dashboard.
4. Tokens and payments
YouClip is pay-as-you-go, not a subscription. You buy tokens in one-time packs and spend them when you render. Key points:
- Prices are shown before you buy, and you always see the token cost of a render before it starts.
- Payments are processed by Stripe. We do not receive or store your full card details.
- Tokens do not expire and nothing renews automatically.
- Tokens have no cash value, are not transferable, and cannot be exchanged for money except where the law requires.
- New accounts may receive free promotional tokens, which we can change or withdraw at any time.
5. Refunds and your cancellation rights
When a render begins, the tokens it needs are reserved from your balance. If the render fails to complete, those tokens are automatically returned to your balance, so you only pay for clips you actually receive.
If you are a consumer in the UK or EU, you normally have a 14-day right to cancel a purchase of digital content. Because tokens are supplied for immediate use, by starting a render you ask us to begin supplying that digital content immediately and you acknowledge that you lose the 14-day cancellation right for tokens you have already spent. Unused token balances can still be refunded on request within the cancellation period. Nothing here affects your statutory rights, including remedies if the Service is faulty. 6. Your content and rights
You keep all ownership of the footage you process and the clips you create. You are responsible for the content you upload and must hold all rights and permissions needed to use it, including the rights of anyone appearing in it. You grant us only the limited permission needed to process your content so we can provide the Service to you (see our Privacy Policy for how content is handled).
7. Acceptable use
You agree not to use the Service to create, upload or distribute content that:
- infringes anyone’s copyright, trademark, privacy or other rights;
- is unlawful, defamatory, harassing, hateful, or sexually exploitative of minors;
- impersonates others or is designed to deceive or defraud; or
- contains malware, or attempts to disrupt, reverse-engineer, or gain unauthorised access to the Service.
We may suspend or terminate accounts that breach this section.
8. AI-generated features
Some features — including transcription, translation, title and highlight suggestions, and voiceover — are produced using automated and AI systems. These outputs can contain errors and are provided for you to review and edit. You are responsible for checking any AI-generated output before you publish it. We do not guarantee the accuracy, quality or suitability of these outputs.
9. Licence and intellectual property
We grant you a personal, non-exclusive, non-transferable, revocable licence to use the YouClip app for its intended purpose. The Service, including its software, branding and design, remains our property or that of our licensors. You may not copy, resell, sublicense, or create derivative works from the Service except as allowed by law.
10. Availability, changes and termination
We aim to keep the Service running but do not guarantee it will always be available or uninterrupted. We may change, suspend or discontinue features, and we may update these terms; if we make material changes we will take reasonable steps to let you know. You may stop using the Service and delete your account at any time. We may suspend or close accounts that breach these terms or where required by law.
11. Disclaimers and liability
The Service is provided “as is” to the extent permitted by law. Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be excluded under applicable law — including your statutory rights as a consumer.
Subject to that, we are not liable for indirect or consequential loss, or for loss of content, profits or data, arising from your use of the Service; and our total liability to you for any claim is limited to the amount you paid us in the 12 months before the claim arose. You are responsible for keeping your own backups of your footage and clips.
12. Governing law
These terms are governed by the laws of England and Wales, and disputes are subject to the non-exclusive jurisdiction of the courts of England and Wales. If you are a consumer, you may also have the right to bring proceedings in your country of residence.
